GENERAL CONDITIONS OF SALE - PICCO & MARTINI

Our sales and services are subject to these general conditions of sale. The mere fact of dealing with our company constitutes acceptance of our general conditions of sale. Our general
conditions are mandatory, they consist of different clauses, all of which are substantial in relation to each other, without which we would not have contracted.
The possible invalidation of one of them, whatever the cause, leaves all the others valid.

Quote :

Our quotes are only binding if they have been accepted in writing. Our quotes are valid for one month from their date of issue and can no longer be accepted by the customer after this
period. A new offer can be established. The quotes must always be verified by the customer, under his responsibility. Products ordered in addition, by any means and not expressly mentioned in the offer, will be automatically billable at the same price and payment conditions, provided that these orders actually correspond to the original reference of the order.

Order: enforceability of contracts with third parties:

We receive orders from our customers by all known and usual means of communication, tel, fax, email, post under certain conditions, etc. These orders have no value, however, and do not
constitute a commitment on our part as long as they were not confirmed by a confirmation of receipt of order from our services, validated by our client, the absence of a remark constituting
agreement. Orders given to our representatives are subject to the same rule.
Once an order is confirmed, the price is understood to mean that applicable on the day of registration of this order, which is invoiced on the day of shipment. However, due to the fluctuation
of the price of the raw material, the seller reserves the right to apply the price valid on the day of delivery.
As soon as the purchase order is signed by the customer and the confirmation validated as stated above, the sale concluded is firm and irrevocable and cannot in any way be canceled.
By express agreement, contracts between our customers and third parties are unenforceable against us. They cannot produce any effect against us in accordance with the provisions of article 1165 of the Civil Code.

Price:

Unless otherwise specified, prices are understood to be, excluding VAT, delivered in one delivery No price variation can be applied to confirmed orders in progress. In the event of postponed delivery or in the event of scheduled delivery, prices may vary following changes in the cost of raw materials, wages or transport.

Contribution to shipping costs :

For any order for an amount less than € 5,000 excluding VAT (excluding packaging), the transport costs will be calculated just before shipping and communicated to the customer.
Free delivery if the total amount of the order is> 5000 € excluding VAT (excluding packaging). The customer will always have the possibility of taking care of the transport himself by requesting
the ex-works condition at the time of the order.
This calculation method does not apply to existing price lists formulated with ex-works conditions.

Price determination :

Our prices are established on the basis of the glass dimensions and specifications communicated to us for the preparation of the quote or in the order.
Calculation of areas: for pieces invoiced per m², the dimensions are determined on the multiple of 4 centimeters by 4 centimeters:

Example: 61.4 x 183.4 m² become: 64 x 184 = 1.1776 = 1.18 m².
The minimum volume invoicing area will be calculated and invoiced as follows:
0.25 m² for single glazing fire products,
0.30 m² for clear, silver, tinted and reflective windows,
0.50 m² for all other products or compositions.
The products will be cut and shaped with tolerances in accordance with professional rules. For volumes other than rectangular or square, the area considered is that of the circumscribed rectangle or square, including for right triangles.
For any volume that does not have at least two right angles (90 °), a rigid and undeformable template with the execution dimensions must be provided by the buyer. For these volumes, a
price increase and an extra processing cost are applied and appear in the price list. For trading products as well as for - fire products - some of the rules set out above may differ. Please refer
to the corresponding prices for the application of the specific rules. An additional cost related to energy may be applicable to all products delivered from November 1, 2004. The amount
reflects energy prices in Europe; it is directly indexed to the price of oil - IPE Brent. The practical modalities for the application of this measure have been explained to the customer in a separate document detailing the measure. This additional cost appears on the last line of the invoice (or on the line on request), showing all the masses of the products delivered; it is billed according to the grid provided to the customer based on the petroleum index stated above.

Packaging:

Our packaging is only designed for the transport of our glass products to the exclusion of any other and must be stored according to good practice upon delivery to avoid alteration.
They cannot in any way be transported by means other than those of PICCO & MARTINI or by transport chartered by us or accepted by us in writing. We decline all responsibility in the
event of use or transport not in accordance with our instructions.
Our glazing is delivered in lost wooden crates.
Wooden boxes: Any order receives a supplement for packaging according to a summary table of variable costs according to the maximum dimension of the glazing of the order.

Deliveries: Trucking

Our supplies:
- Can be delivered at our discretion as part of the regular tours we organize.
- Can be, if necessary, delivered to the site indicated by the purchaser, within a distance that we alone can assess.
The goods transported in our trucks, or those of our service providers, are delivered to the door of the customer's home. The unloading of goods is always the responsibility of the customer if
the latter uses its own equipment. It must be carried out in due form using a sufficiently qualified workforce and appropriate means (bridges, crane, etc.) and as quickly as possible from the
time of their arrival at their destination.
Our trucks cannot be detained on site beyond a reasonable period of time. Waiting times will be the responsibility of the customer and billable.

Delivery time :

Our delivery times, as well as transport, are given as an indication and except for unforeseen events or cases of force majeure. They do not constitute any commitment on our part.
Any delays cannot justify the refusal of the goods, the cancellation of the order, or the claim for compensation. In all cases, no delay may be opposed:
- In the event of non-compliance by the buyer with the expected payment terms:
- In the event of information not communicated in good time by the buyer for the execution of orders.
- For any fortuitous event or force majeure such as floods, fires, total or partial strikes, losses, damage, theft, delay of our own suppliers, manifest risk of war or attack or civil security
instructions, without this list is exhaustive In the event of deferred delivery by the purchaser, storage costs may be charged and revised beyond a storage period exceeding
20 working days. Likewise, beyond a storage period of 30 working days, goods whose delivery has been deferred by the
buyer will be billable as of right and may be destroyed.
Delivery times are only indicative and any delays do not entitle our customer to request the cancellation or termination of the contract, to refuse to take delivery of our products or to claim late
penalties. or damages.
Any additional costs caused by a delay beyond our control in making a delivery will be borne by the buyer.
The goods always travel at the risk and peril of the buyer, even within the free-of-charge framework of a destination. Any complaint concerning transport will be notified directly by the
buyer to the company responsible for the transport.
The buyer agrees to receive the products at the places and dates indicated by us. In the event of failure on his part, the delivery with all its effects will be deemed to have taken place on that
date.
Any complaint concerning the quantity and quality of the materials must be formalized within four days from the date of receipt of the materials. No complaint will be accepted after this
four-day period.
The buyer undertakes, in the event of partial loss or damage due to transport, to inform the carrier within the time limits imposed by the latter.
Force majeure, mobilization, war, strikes, epidemics, floods, interruption and reduction of transport, shortage of equipment, raw materials or labor, interruption of deliveries of Picco &
Martini suppliers, accidents and all causes resulting in unemployment of all or part of the factories or workshops of Picco & Martini's subcontractors are all cases of force majeure
formally stipulated by the contracts or markets and may lead to changes, not only in execution and delivery, but also in the prices and conditions provided.

Payment :

Our invoices are payable thirty days from the date of the invoice, by bank transfer which must reach us no later than eight days after receipt of the invoice.
We reserve the right to request a deposit or cash payment upon order. In the event of cancellation of the order by the customer without our written agreement, the deposit or cash payment
remains with us.
In the event of partial delivery, non-delivery or postponement of the balance may not delay payment of the part delivered.
Any invoice for which no duplicate request has been sent to us within one month of delivery will be deemed to have been received by the buyer.
Any order may be considered by Picco & Martini as canceled by operation of law for lack of payment of the sums due within eight working days from a formal notice to pay by simple registered
letter with return receipt which has remained ineffective.
In the event of a change in the buyer's situation, in particular in the event of death, inability to dissolve or restructure, grant a mortgage on his buildings, pledge his business, pledge reorganization or judicial liquidation, Picco & Martini reserves the right, even after partial execution of an order, either to require new guarantees or new payment conditions, or to cancel the
balance of orders registered in the name of the Buyer.
No complaint from the buyer may result in a change in the amount or a suspension of payment of our invoices

Guarantee conditions:

The buyer has the obligation, upon receipt of the goods, to check their conformity and condition. With regard to damage or loss occurring during transport, he must make the necessary
reservations with the carriers within the time limits and under the conditions provided for by law. Regarding apparent nonconformities, defects or disorders, all complaints must be notified
to Picco & Martini within four days of receipt of the goods, on pain of inadmissibility.
However, our liability is expressly limited to the only damages resulting directly from the defects or substantial defects observed, to the exclusion in particular of any indirect,
commercial or other damages which could result therefrom for our client, under the conditions provided for in the paragraph below.
In the event of defects or substantial defects, and on the express condition of having been informed thereof by our client within a maximum period of five days from the date on which the latter
has been able to examine the disputed material, we will be required to exchange or repair defective equipment at our expense. No additional damages can be claimed from us in
compensation for commercial damages and other indirect damages which would have resulted from the defects or substantial defects observed.

Retention of title:

We reserve title to the goods supplied until full payment of their price by the buyer. Consequently, the buyer will be required to make the necessary arrangements so that the products sold
remain, until full payment of the price, identifiable as the property of Picco & Martini, and any act of disposal or transformation of the products by the buyer. Before payment of the price may only take place with the prior agreement of the seller who may require any guarantee he deems useful, in particular the acceptance of drafts by the sub-purchaser, it being recalled that in the absence of said agreement, penalties will apply.
In the event of total or partial non-payment of the price and in the event that the buyer has disposed of the goods sold under retention of title, he therefore assigns to Picco & Martini all the
rights he may have against the purchasers of the products or goods concerned, in particular the right to demand the price directly.

Intellectual property :

Picco & Martini reserves in all cases the rights of intellectual property for products, sketches, drawings, tools, profiles etc. made by him.

Miscellaneous provisions – Jurisdiction :

If one of the provisions of these general conditions of sale turns out to be void, this would not affect the validity of the other provisions, it being understood that the void provision will be
considered as reduced to a lawful agreement.
Italian law is applicable to the exclusion of the provisions of the United Nations Convention on Contracts for the International Sale of Goods of 11.4.1980
In case of dispute, the courts of Turin (Italy). Only competent, unless Picco & Martini decides that the competent court will be that of the seat of the purchaser, even in the event of a warranty
claim or if there is more than one defendant.
